The Importance of Holding the Ordinary Shareholders’ Meeting in Business Corporations in Honduras

At the beginning of each year, companies not only review their financial and operational goals; they must also comply with one of the most important obligations within their corporate governance structure: holding the Annual Ordinary General Meeting of Shareholders or Partners.

In Honduras, this obligation is established in Article 168 of the Commercial Code, which states that business corporations must meet at least once a year, within four (4) months following the end of the fiscal year.

In practice, many companies align their fiscal year with the tax year, which typically covers the period from January 1 to December 31. For this reason, the Ordinary Meeting is usually held between January and April of each year, during which the partners formally review the company’s financial situation and make relevant decisions for its operation.

Main Decisions Adopted

In accordance with Article 168 of the Commercial Code, the Ordinary Meeting must address, among others, the following matters:

  1. Discussion and approval of the financial statements

The partners or shareholders analyze and approve the balance sheet and income statement, allowing them to assess the company’s financial standing and make decisions regarding profit distribution, reinvestment of earnings, or strengthening of share capital.

  1. Appointment or ratification of administrators and auditors

The Meeting allows for a review of management’s performance and, if necessary, the ratification or appointment of new administrators or auditors, ensuring proper direction and oversight of the company.

  1. Determination of compensation for management bodies

When not defined in the bylaws, it is the responsibility of the Meeting to set the remuneration of administrators and auditors.

A Key Corporate Governance Tool

Beyond being a legal requirement, the Ordinary Meeting is an essential tool for corporate order, as it allows formal documentation of partners’ decisions, strengthens financial transparency, and prevents legal or corporate contingencies.
