MERCHANT COMPANIES AND THEIR OBLIGATIONS IN THE NATIONAL REGISTRATION CENTER – EL SALVADOR 2024
-
Commercial Registration
Every company must renew its commercial registration annually, with the deadline being the month in which its Articles of Incorporation were registered in the corresponding Registry.
NOTE: Without the respective renewal, the company will not be able to register powers of attorney, renew credentials, make modifications to the corporate agreement, among other activities, nor process loans, guarantees, or participate in public tenders, to name a few. This is a critical obligation for the operational functionality of the company as a whole. (Art. 101, Commercial Registration Law)
Registration of Various Documents
Similarly, and just like the commercial registration, every merchant must have the following documents registered and up-to-date:
-
Appointment of External Auditor: Must be done annually for the current fiscal year.
-
Appointment of Tax Auditor: As applicable, based on the thresholds imposed by the Tax Code (Art. 131).
-
Credential of Sole Administrator or Board of Directors: According to the renewal date for each specific case and based on the regime adopted in the company’s corporate agreement.
-
Deposit of Financial Statements: Must be done annually, for the fiscal year prior to the current year.
